VayloSA Terms of Service

Version: 1.0
Effective date: 13 October 2026

1. Service provider

These terms apply to services supplied by VAYLOSA (PTY) LTD, trading as VayloSA, registration number 2026/167892/07.

Address: 255 Mimosa Village, Fairview, Gqeberha, South Africa
Email: support@vaylosa.co.za
Telephone: 063 127 4075
Website: https://www.vaylosa.co.za

“Client” means the person or business entering into a service agreement with VayloSA.

2. Scope and acceptance

VayloSA provides websites, applications, AI automation and business systems.

Submitting an enquiry does not create a paid service agreement or oblige you to purchase anything. Work begins under an accepted written proposal, quotation or project agreement.

These terms must be made available before acceptance and expressly incorporated into that agreement. A project agreement may contain additional scope, pricing, delivery, support and data-processing terms. It takes precedence over these general terms where it expressly varies them, subject to applicable law.

3. AI use across all services

AI IS USED IN THE CREATION AND DELIVERY OF VAYLOSA’S SERVICES.

Our delivery process uses AI-assisted tools across websites, applications, AI automation and business systems.

By accepting a project agreement incorporating these terms, the client authorises VayloSA to process relevant business information and project materials through appropriately selected AI tools where reasonably necessary to create and deliver the agreed services.

Relevant information may include business descriptions, branding, content, workflows, functional requirements, designs, code, documents and project feedback. It may be used for planning, drafting, design, development, testing, analysis, integration and automation.

This authorisation:

Before processing personal information or confidential material through an AI provider, VayloSA must verify appropriate provider terms, settings and safeguards. Client material must not be supplied to a provider for general-purpose model training under this agreement.

If the client requires particular information to remain outside AI processing, the client should identify it before supplying it. The parties will agree an appropriate alternative, which may affect scope, timing or price. No changed charge applies without agreement.

4. Client information and authority

The client must supply information that is reasonably accurate, relevant and necessary for the project.

The client confirms that it has the rights and authority needed to provide its materials and instruct their use. Where materials contain personal information belonging to customers, employees or others, the client must establish a lawful basis and provide required notices or permissions.

Do not submit credentials, sensitive personal information, children’s information or production databases through the general enquiry form. The parties must agree a suitable transfer method and processing safeguards before such information is provided.

These client responsibilities do not remove VayloSA’s own legal obligations.

5. Confidentiality and privacy

VayloSA will use confidential client information only to deliver the agreed services, administer the relationship or meet a lawful obligation.

Disclosure is limited to authorised persons and providers who need the information for those purposes and are subject to appropriate safeguards.

Personal information is handled under applicable law, our Privacy Policy and any project-specific data-processing agreement. The Privacy Policy does not override a more specific confidentiality commitment.

VayloSA will not publish client projects, logos, confidential materials or testimonials in a portfolio without the required permission.

6. AI limitations and review

AI-assisted outputs can contain errors, omissions, biased content or material resembling existing works. AI use does not guarantee accuracy, originality, exclusivity or a particular commercial result.

VayloSA remains responsible for exercising the skill and care required by the agreement and applicable law. Material deliverables will receive human review appropriate to their intended use.

The client must review supplied business facts, branding and approvals. Neither party should treat AI-generated legal, medical, financial or other regulated content as qualified professional advice.

Any functionality that makes significant automated decisions about individuals requires a separate assessment and expressly agreed safeguards.

7. Scope, delivery and changes

The project agreement must define deliverables, dependencies, review stages, acceptance criteria and any estimated delivery dates.

The client must provide reasonably timely materials, access and feedback. If a delay affects delivery, VayloSA will explain the impact and agree revised arrangements where appropriate.

Additional features, revisions or work outside the agreed scope require a written change agreement stating any price or timing adjustment.

Silence does not automatically constitute acceptance of a deliverable unless a lawful, clear acceptance process has been expressly agreed.

8. Fees, cancellations and refunds

Prices, taxes where applicable, payment stages, deposits and third-party costs must be stated in the quotation or project agreement before acceptance.

Cancellation and refund arrangements must be agreed in writing and must comply with applicable consumer rights. A deposit is not automatically non-refundable merely because it is called a deposit.

Any recurring hosting, maintenance, licence or support charge requires an express agreement explaining its price, duration and termination arrangements.

9. Ownership and licences

The project agreement must state ownership and licence arrangements for custom deliverables, source code, designs and content, including any payment conditions.

The client retains its rights in materials it supplies. VayloSA retains its rights in pre-existing tools and materials unless otherwise agreed, with any licence needed to use the deliverables specified in the project agreement.

Open-source software, stock assets and third-party services remain subject to their applicable licences.

AI use alone does not guarantee that an output qualifies for copyright protection or that exclusive rights can be transferred. Any ownership promise must reflect the rights actually available.

10. Third-party services and ongoing support

A project may depend on hosting, email, AI, payment, API or other third-party services. Applicable subscriptions, fees, material restrictions and client responsibilities must be disclosed before they are incurred or accepted.

VayloSA cannot promise uninterrupted availability of an external provider, but remains responsible for its own agreed work and reasonable handling of provider dependencies.

Ongoing monitoring, maintenance, updates and support apply only where included in the project agreement. Handover must explain material dependencies and known limitations.

11. Legal rights and responsibility

Nothing in these terms excludes or limits rights or remedies that cannot lawfully be excluded under South African law.

AI use does not excuse VayloSA from responsibility for its own breach, unlawful processing or failure to exercise required care. These terms do not exclude liability for fraud or gross negligence.

Any project-specific limitation of liability must be clear, fair, expressly agreed and lawful.

12. Complaints and disputes

Please send complaints to support@vaylosa.co.za, explaining the issue and requested resolution. We will seek to resolve disputes through reasonable discussion.

These terms are governed by South African law. Nothing prevents either party from exercising applicable rights through a competent court, regulator, tribunal or other authorised dispute-resolution body.

13. Changes to these terms

The version accepted for a project governs that project unless the parties agree a change in writing.

Publishing revised website terms does not automatically change an existing project agreement or retrospectively authorise new uses of client information.
